This document contains the terms of a legal agreement between you and Solskyy. Here, we clearly outline the aspects of our business relationship with you.

General Work Terms and Client Responsibilities & Liabilities

All site content, including text and multimedia, is the client’s responsibility to provide to Solskyy, ideally before work commencement. Clients must also ensure a proper backup of all site content before Solskyy starts any agreed tasks. Solskyy is not liable for any loss or damage to existing data.

The contract does not hold Solskyy responsible for data entry, web hosting, or any custom artwork/graphics work unless specifically mentioned and agreed upon. Any artwork, images, or text supplied and/or designed by Solskyy for the client will remain Solskyy’s property unless otherwise agreed upon.

Solskyy will strive to meet all delivery deadlines, but adjustments or extensions may be necessary due to unforeseen circumstances such as deployment issues, third-party support, or resource unavailability.

Clients will have an opportunity to review Solskyy’s work during the design phase and once completed. Solskyy will await feedback for 7 days, after which the work will be deemed automatically accepted by the client.

Clients must have the proper rights and permissions for any copyrighted material provided to Solskyy and will indemnify Solskyy against any claims arising from the client’s failure to obtain such rights.

Solskyy is not responsible for any alterations made to the client’s website by the client or third parties post-installation/deployment. A separate development charge may apply for resolving issues arising from such alterations.

Payments

Solskyy accepts online payments and bank transfers. These methods are subject to change without notice. Solskyy reserves the right to withdraw any payment method at any time and to change prices without prior notice.

A cancellation fee will be charged if the service is canceled before completion, based on the amount of work completed at the point of cancellation. Non-payment of this fee and overdue amounts may result in legal action.

Support and 3rd-Party Involvement

After the site launch, Solskyy offers limited free support for a discussed period. Post this period, support will be chargeable. The scope of support includes bug fixing and email support but excludes issues related to site architecture, rule changes, and add-ons/enhancements.

Any third-party support, product, or service integrated into the site that requires licensing, payment, or copyright will be the client’s responsibility. Solskyy’s fees are exclusive of third-party expenses.

Solskyy does not guarantee the accuracy or performance of third-party products/services.

Upgrades to third-party products/services used in the project are outside Solskyy’s scope and may require additional costs and time adjustments.

Re-work, Enhancements/Add-ons, and Billing

Additional features outside the initial scope will be addressed through a Change Management process and billed accordingly. Scope creep post wireframe/design sign-off will incur additional charges.

While Solskyy aims to accommodate minor changes within the project budget, extensive changes or enhancements are chargeable.

Any client requests for re-work, changes, or tweaks post-approval or after the subsequent project stages will be billed as additional work.

Clients must pay Solskyy’s fees without deductions, discounts, or debt settlements by the agreed due dates.

Limitations of Liability

Solskyy will exercise reasonable skill and care in providing services but does not guarantee the availability, quality, accuracy, timeliness, completeness, performance, or fitness of services.

Solskyy and its employees or agents are not liable for any loss or damage caused by inaccuracies, omissions, delays, or errors in website production, or for loss or damage to client-provided materials.

Except in cases of death or personal injury caused by Solskyy’s negligence, Solskyy is not liable for any direct, indirect, or consequential damages arising from this agreement or service operation.

Solskyy is not responsible for services provided by third parties.

Approvals and Delivery

Projects involve various stages, with each subsequent stage commencing after the previous stage’s sign-off and payment. Upon completion, the website will be uploaded to the client area on Solskyy’s server for approval. Following client approval, the website will be uploaded to the destination server. Full payment is required before website upload.

All developed code and materials will be transferred to the client after project completion and final sign-offs.

Solskyy reserves the right to publish and use the completed work for promotional purposes unless otherwise requested by the client.

Timescale

Solskyy aims to complete all services within the agreed timescale, which begins upon receipt of the initial deposit and all client-provided content. Timescales may need adjustment due to factors

beyond Solskyy’s control.

Jurisdiction

These terms are governed by and interpreted in accordance with Indian Law. The parties agree that Indian courts have exclusive jurisdiction to settle any disputes arising from these Terms and Conditions.

Severability

If any provisions of this Agreement are held to be invalid, illegal, or unenforceable, the remaining provisions remain in effect. Such invalid provisions will be replaced by valid ones that most closely match the original intentions.
